A.A.A. Affiliate Program — Participation Terms (United States)
1. Overview
The Alien Affiliate Alliance ("A.A.A. Program" or "Program") is a performance-marketing program through which approved partners ("Partners") promote AlienTools products on partner websites and social-media accounts ("Partner Channels") in exchange for commissions on qualifying sales. These terms govern Partner participation in the U.S. version of the Program.
2. Eligibility & Application
Partners must apply through our online form. AlienTools may approve or reject applications at its discretion. Partners must be at least 18 years old, legally able to contract, and resident in a U.S. state where the Program is offered. Partners enrolled in the A.L.F. Loyalty Program are not eligible.
3. License & Use of Materials
Upon approval, AlienTools grants the Partner a limited, non-exclusive, non-transferable, revocable license to display authorised AlienTools advertising materials (links, banners, coupon codes, images, videos) on the Partner Channels for the sole purpose of promoting AlienTools products. Partner shall not modify the materials or use them outside the Program without prior written consent.
4. FTC Disclosure (16 C.F.R. Part 255)
Partner must clearly and conspicuously disclose the material connection between Partner and AlienTools in any post or content that promotes AlienTools products, in compliance with the U.S. Federal Trade Commission's Endorsement Guides. Acceptable disclosures include hashtags such as #ad, #sponsored, or #AlienToolsPartner, placed at the beginning of the post and not buried in tags. Disclosures must be visible on the device or platform where the content is viewed.
Partner agrees not to make false, misleading, or unsubstantiated claims about AlienTools products. Performance claims (e.g., tool life, surface quality) must be either limited to the Partner's own experience or accompanied by competent and reliable evidence.
5. Prohibited Conduct
Partner shall not:
- Use the AlienTools name, trademarks, or product names in paid search advertising (Google Ads, Bing Ads, etc.) without prior written consent;
- Bid on AlienTools brand keywords or close variants;
- Operate websites that could be confused with AlienTools or its products;
- Engage in cookie stuffing, cookie dropping, forced clicks, hidden iframes, post-view tracking, or any form of affiliate fraud;
- Generate self-referrals or referrals from family members;
- Send unsolicited commercial email (spam) or violate the CAN-SPAM Act;
- Promote AlienTools content alongside unlawful, deceptive, sexually explicit, hateful, violent, or otherwise harmful content.
6. Commission Structure
Partner earns a commission on qualifying net sales (excluding shipping, taxes, and refunds) generated through tracked Partner links and coupon codes. The commission rate, attribution model ("last click" with a 30-day cookie window unless otherwise specified), and minimum payout amount are described in the Program dashboard.
Sales are "qualifying" only when paid in full and not refunded within 60 days. Refunds, chargebacks, and order cancellations result in commission reversal. AlienTools may withhold or claw back commissions in cases of fraud or breach.
7. Payment
Commissions are paid monthly via PayPal or, where preferred, bank transfer (ACH or wire). The minimum payout threshold is $50 USD; balances below this carry forward. Payments are made approximately 30 days after the end of the month in which the qualifying sale occurred, allowing for refund settlement.
8. Tax Documentation
Partner must complete and submit a current IRS Form W-9 (U.S. persons) before any payment is made. AlienTools issues IRS Form 1099-NEC to Partners earning $600 or more in a calendar year, in accordance with applicable tax law. Partner is solely responsible for reporting income and paying any taxes owed.
9. Term & Termination
The Program runs on an open-ended basis. Either party may terminate at any time, with or without cause, by email. AlienTools may suspend or terminate Partner accounts immediately for breach of these terms, fraud, abuse, or reputational harm. Upon termination, Partner must remove all AlienTools materials from Partner Channels. Commissions on sales generated before termination remain payable; sales generated after termination do not earn commissions.
10. Confidentiality
Partner shall keep confidential all non-public information disclosed by AlienTools in connection with the Program (including pricing strategies, conversion data, and unpublished promotional plans) and use it only for Program purposes. This obligation survives termination.
11. Independent Contractor
Partner is an independent contractor. Nothing in these terms creates an employment, agency, partnership, joint-venture, or franchise relationship. Partner has no authority to bind AlienTools.
12. Disclaimers & Limitation of Liability
The Program is provided "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, ALIENTOOLS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OPERATION. ALIENTOOLS' AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE COMMISSIONS PAID TO PARTNER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
13. Indemnification
Partner shall indemnify and hold harmless AlienTools from third-party claims arising from Partner's breach of these terms, FTC disclosure violations, false claims, or any unlawful or unauthorised activity on the Partner Channels.
14. Modifications
AlienTools may modify these terms with 30 days' notice by email. Continued participation after the effective date of changes constitutes acceptance.
15. Governing Law & Dispute Resolution
These terms are governed by the laws of the State of [STATE OF U.S. INCORPORATION], without regard to conflict-of-laws rules. Disputes are subject to the binding arbitration and class-action-waiver provisions of our U.S. Terms of Sale.
16. Entire Agreement & Severability
These terms and the Program documentation referenced in the Program dashboard constitute the entire agreement between AlienTools and Partner regarding the Program. If any provision is unenforceable, the remaining provisions remain in full force.
